Congratulations to Justin Nasseri, Avi Bourassa, and Viktor Nikolov for their win in The Morgan Investments Group Inc. v. Adi Development Group Inc. et al., 2025 ONSC 4903. The RN LLP team represented a development manager in a Burlington project, who was successful in obtaining a buyout order of their finance partner in the project, under s. 207 of the Ontario Business Corporations Act. In ordering the buyout, the Court cited to and relied on the RN LLP team’s case law and arguments that s. 207 was the best vehicle to resolve a shareholder dispute and deadlock in a closely held corporation. The Court soundly rejected all of the relief sought by the opposing party, including (i) an application to change the parties’ corporate governance structure; (ii) a request to be the buyer under a buyout scenario; and (iii) a request for the Court to fashion a shotgun arrangement despite the parties having no shotgun clause in their shareholder agreement.
